Definitions
“The Theatre” means High Peak Theatre Trust Limited, operating Buxton Opera House and Pavilion Arts Centre.
“Member” means the organisation or business that has purchased a Cavendish Business Club membership.
“Membership” means the Cavendish Business Club package purchased by the Member, including all associated benefits.
“Membership Fee” means the annual cost of the selected Membership, payable in full (or via agreed instalments) as invoiced by the Theatre.
“Membership Tier” means the level of Membership selected by the Member: Bronze, Silver or Gold.
“Benefits” means the tickets, marketing recognition, hospitality offers, events, tours, and other entitlements associated with the chosen Membership Tier.
“Complimentary Tickets” means tickets included within the Membership allocation, subject to availability and the conditions outlined in 'Tickets'.
“Development Team” means the Theatre staff responsible for administering Memberships and associated Benefits.
“Event” means any performance, show, or activity promoted or presented by the Theatre, excluding those expressly listed as non‑eligible for ticket allocation.
Membership Term and Payment
Membership runs for 12 months from the date of invoice unless otherwise stated in writing.
The Member agrees to pay the full Membership Fee (+ VAT) within 30 days of the invoice date, or by monthly instalments if this payment method has been expressly agreed in writing by the Theatre. Where monthly instalments are agreed, the Member remains committed to the full 12-month Membership Term and liable for the entire Membership Fee.
Membership benefits will only be activated once either a) the full Membership fee has been received, or b) the first monthly instalment has been received (where instalments have been agreed). Where benefits are activated following the first instalment, this is on the strict condition that all remaining instalments are paid in full over the 12-month Membership Term. Failure to maintain instalments will result in the immediate suspension of Membership benefits until all overdue sums are paid.
Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.
Membership fees are non-refundable in all circumstances. No refunds (full or partial) shall be issued for early termination, non-use, partial use of benefits, suspension, or termination of membership by either Party, save where required by law.
Where the Membership Fee is paid by monthly instalments, this constitutes a payment facility only and does not create a monthly or rolling membership. The Member remains liable for the full Membership Fee for the entire 12-month term. Failure to maintain payments will result in immediate suspension of membership benefits.
Membership is offered exclusively to organisations and businesses acting in the course of trade. These Terms & Conditions do not apply to consumers, and the Member confirms it is not entering into this agreement as a consumer for the purposes of the Consumer Rights Act 2015.
Membership Benefits
The Theatre will deliver the benefits associated with the Member’s chosen membership tier (Bronze, Silver, or Gold) for the duration of the membership year.
The Theatre reserves the right to amend, substitute, suspend, or withdraw any membership benefit at its discretion. Where possible, reasonable notice will be given. The Theatre will endeavour to ensure that any changes do not materially diminish the overall value of the membership during the membership term, but no guarantee is given.
Membership does not create an exclusive partnership. The Theatre may solicit and accept memberships, sponsorships, partnerships, and other support from other businesses or individuals.
Tickets
Complimentary ticket allocations are as follows:
- 2 tickets per eligible show, though for the Pantomime 4 tickets are available per performance
- (Total allocation varies by membership tier)
Tickets are strictly subject to availability and membership does not guarantee access to any event.
Ticket allocations exclude Buxton International Festival, The International Gilbert & Sullivan Festival, and Buxton Film events.
Where demand exceeds availability, tickets will be issued on a first-come, first-served basis.
Unused tickets cannot be rolled over, transferred, or exchanged. Members may request that unused tickets be donated to a charity or community organisation via the Theatre.
Seating entitlements by membership tier:
- Bronze and Silver Cavendish Business Club Members may book their allocated complimentary tickets in the Stalls, subject to availability.
- Gold Cavendish Business Club Members may book their allocated complimentary tickets in the Stalls or Dress Circle, subject to availability.
Seating indicated for each membership tier reflects the standard allocation. The Theatre reserves the right, at its discretion, to offer alternative seating of equal or greater value where standard tier seating is unavailable.
Membership tier does not guarantee availability of seats within the designated area for any particular performance. All bookings remain subject to capacity, production requirements, and operational considerations.
Seats must be booked through the Theatre’s Development team in accordance with the seating entitlements set out above.
Marketing, Branding & Promotion
The Theatre shall recognise the Member’s support in agreed promotional materials.
The Member must provide logos, marketing assets, and information in required formats and within specified deadlines.
Each Party grants the other a limited, non-exclusive, revocable licence to use its name, logo, and trademarks strictly for fulfilling the membership agreement.
All uses of branding must be pre-approved in writing.
The Theatre may use photographs, recordings, or associated Member branding for promotional purposes unless the Member withdraws consent in writing.
Tours & Additional Benefits
Any tours or behind-the-scenes experiences included within membership packages are subject to availability and must be arranged in advance with the Development Team.
Additional benefits are provided at the Theatre’s discretion and may be withdrawn or amended.
Conduct & Termination
The Theatre reserves the right to terminate a membership with immediate effect if, in the Theatre’s reasonable opinion, the Member’s conduct, values, public statements, business activities, or associations could reasonably cause reputational, ethical, operational, or charitable risk to the Theatre or bring the Theatre into disrepute.
If membership is terminated as above, no refund (full or partial) shall be provided.
The Member may terminate its Membership at any time by providing written notice to the Theatre. However, Membership Fees are non-refundable in all circumstances, and early termination does not release the Member from its obligation to pay the full Membership Fee for the 12‑month Membership Term. Where the Membership Fee is being paid via monthly instalments, all remaining instalments for the remainder of the 12‑month Term shall become immediately due upon termination.
The Theatre reserves the right to terminate a membership on written notice for any other legitimate business reason. In such circumstances, no refund (full or partial) shall be payable.
Confidentiality
Both Parties agree to keep all non‑public information shared through this membership confidential, unless disclosure is required by law.
Data Protection
The Theatre will process Member data in accordance with applicable data protection legislation, including the UK GDPR and Data Protection Act 2018.
Member data will only be used for administering the membership and delivering associated benefits unless further consent is provided.
Transferability
Membership benefits, including ticket allocations, promotional placements and event access, are non‑transferable unless expressly authorised in writing by the Theatre.
Membership itself may not be assigned or transferred to another organisation without the Theatre’s written consent.
Liability
The Theatre’s liability in connection with the membership shall be limited to the total Membership Fee paid by the Member in the relevant membership year.
Nothing in these Terms & Conditions limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
The Theatre shall not be liable for any indirect, consequential, or business losses arising from participation in the membership programme.
Force Majeure
The Theatre shall not be liable for any failure or delay in delivering membership benefits caused by events outside its reasonable control, including but not limited to: venue closure; pandemics or public health restrictions; industrial action; acts of God; government action; fire, flood, or other emergency.
Where possible, reasonable efforts will be made to provide alternative arrangements, but such measures cannot be guaranteed.
Amendments to Terms
The Theatre reserves the right to amend these Terms & Conditions at any time.
Where amendments constitute a material change to the membership scheme or these Terms & Conditions, Members will be notified in advance. Continued participation in the membership programme following such notice constitutes acceptance of the amended Terms & Conditions.
Dispute Resolution
In the event of a dispute, both Parties will attempt to resolve the matter amicably through negotiation or mediation before pursuing legal action.
Governing Law
These Terms & Conditions are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
